Purchasing Conditions

1. Our first order is only valid under the assumption that the mentioned
therein prices and delivery can be confirmed by the supplier. Changes in the prices and / or
delivery shall require our express consent.
2. Where orders are
received without prices or target prices, we reserve the right to approve the price upon
receipt of confirmation or the invoice.
3. The copyright on all
documents - such as plans, sketches, calculations, etc. - which the supplier supplies before
or after the contract shall remain with us. The supplier shall use such information solely
for the purpose of the execution of our order. Without our prior written consent, he is not
entitled by virtue of such documents to produce products for third parties, or to copy such
documents to copy or to bring in any way third parties, who are not directly commissioned
with the execution of the order, or parts.
4. Any additional
expenses incurred by failure to observe our instructions or by faulty
deliveries, shall be borne by the supplier.
5. The transfer of
benefits and risks occurs after the shipment arrives on our
premises.
6. We will examine the goods supplied for possible
defects, as soon as possible, but without being tied to a
deadline.
7. Our conditions always apply unless special written
agreements have been made.
8. Delays in delivery shall entitle us to
the cancel the order. To avoid unforeseen delays, the cause and duration of the delay at the
time of their creation are to be reported to us immediately.
9.
Unless otherwise agreed, the payment occurs at the end of the month following delivery, less
a 2% discount.
10. For any disputes Swiss law in the jurisdiction of
Aarau applies.
